NannyLane Terms and Conditions

Introduction
These Terms and Conditions (“Terms”) govern your access to and use of the NannyLane platform, website, mobile application, and related services (collectively, the “Platform”), owned and operated by NannyLane Pty Ltd (ABN 51 689 844 719) (“NannyLane”, “we”, “our”, or “us”).
By accessing, browsing, registering for, or using the Platform, you agree to be legally bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately cease using the Platform.
These Terms form a legally binding agreement between you and NannyLane.
Nature of the Platform
NannyLane is an online technology marketplace that facilitates introductions and connections between:
- individuals or families seeking childcare or caregiving services (“Parents”); and
- independent caregivers, babysitters, nannies, and childcare providers (“Nannies”).
NannyLane is not:
- a childcare provider;
- an employment agency;
- a labour hire provider;
- a recruitment agency;
- a party to any arrangement between Parents and Nannies; or
- an employer, principal, agent, representative, partner, or insurer of any user.
All arrangements, services, engagements, communications, negotiations, supervision, and relationships are solely between users.
NannyLane does not supervise, direct, control, endorse, guarantee, or assume responsibility for:
- the conduct of any user;
- the quality, legality, suitability, reliability, safety, or delivery of any childcare services;
- the accuracy of listings, profiles, ratings, reviews, or representations made by users; or
- the actions or omissions of any Parent, Nanny, child, or third party.
Users acknowledge and agree that they use the Platform entirely at their own risk.
Eligibility
By registering for or using the Platform, you represent and warrant that:
- you are at least 18 years of age;
- you have the legal capacity to enter into binding agreements;
- all information you provide is accurate, current, and complete;
- you will maintain the accuracy of your information;
- you are legally permitted to use the Platform under applicable Australian laws; and
- you have not previously been suspended or removed from the Platform.
NannyLane reserves the right to refuse access to, suspend, or terminate any account at its sole discretion.
Accounts and Security
Users are responsible for:
- maintaining the confidentiality of their login credentials;
- all activities conducted through their account;
- ensuring their device and account remain secure; and
- immediately notifying NannyLane of any unauthorised use or suspected security breach.
NannyLane is not liable for any loss or damage arising from unauthorised account access.
Users must not:
- share accounts;
- impersonate another person;
- create multiple misleading accounts; or
- use false identities.
Verification and Due Diligence
Nannies may be required to upload or provide certain documents, including:
- government-issued identification;
- Working With Children Check (WWCC);
- police checks;
- first aid certifications; and
- any other documentation requested by NannyLane.
Parents are solely responsible for conducting their own independent due diligence before engaging any Nanny, including:
- interviewing the Nanny;
- checking references;
- verifying qualifications and documents;
- assessing suitability and experience; and
- determining whether the Nanny is appropriate for their children and circumstances.
NannyLane does not guarantee:
- the authenticity, validity, accuracy, completeness, or currency of any document;
- that any user has passed background checks;
- the suitability or safety of any user; or
- that users will behave appropriately or lawfully.
To the maximum extent permitted by law, NannyLane disclaims all liability arising from reliance on user-provided information.
Independent Contractor Relationship
Nannies operate as independent contractors unless otherwise agreed directly between users.
NannyLane:
- does not employ Nannies;
- does not determine wages, hours, or working conditions;
- is not responsible for payroll, superannuation, leave entitlements, tax obligations, workers compensation, or insurance; and
- makes no representation regarding employment classification.
Users are solely responsible for complying with all applicable employment, taxation, superannuation, workplace, immigration, and regulatory obligations.
Bookings and Platform Rules
Bookings are created through the Platform and are subject to availability and acceptance.
Parents may only communicate with Nannies through the Platform once a booking request has been accepted. Certain subscription tiers may include additional communication features.
For recurring or multi-day bookings:
- cancellation of any part of the booking may result in cancellation of the entire booking series; and
- users acknowledge that modifications may not always be possible.
NannyLane reserves the right to impose limits, restrictions, verification requirements, or conditions on bookings at any time.
Payments, Fees, and Subscriptions
Payments are processed through third-party payment providers, including Stripe.
By using the Platform, you agree to comply with any applicable third-party payment terms.
NannyLane may charge:
- booking fees;
- subscription fees;
- platform service fees;
- processing fees; or
- other fees disclosed on the Platform.
Current pricing may include:
- a $5 match fee per booking for standard users;
- a Founding Family subscription fee of $199 annually; and
- a standard subscription fee of $299 annually.
NannyLane reserves the right to:
- change pricing at any time;
- introduce new fees;
- modify subscription inclusions; and
- suspend services for unpaid amounts.
Unless required by law, all fees are non-refundable.
Users authorise NannyLane and its payment providers to charge all applicable fees to their nominated payment method.
NannyLane is not responsible for:
- payment delays;
- banking failures;
- third-party payment provider outages;
- chargebacks;
- fraudulent transactions; or
- unauthorised payment activity.
Funds processed through the Platform are not held on trust by NannyLane, and no fiduciary relationship is created.
Cancellations, Refunds, and Chargebacks
Bookings may be cancelled subject to NannyLane’s Cancellation Policy and any applicable booking conditions.
Users acknowledge that:
- cancellation fees may apply;
- subscription fees may be non-refundable;
- refunds may take time to process due to banking and payment provider processes; and
- chargebacks or payment disputes may result in account suspension.
Where a user initiates a chargeback or payment reversal, NannyLane reserves the right to:
- recover associated costs and fees;
- suspend or terminate the account; and
- pursue recovery action where appropriate.
Nothing in these Terms excludes rights that cannot be excluded under Australian Consumer Law.
User Conduct
Users must:
- act lawfully, honestly, and respectfully;
- comply with all applicable laws and regulations;
- provide accurate information; and
- use the Platform only for its intended purpose.
Users must not:
- provide false, misleading, or deceptive information;
- harass, threaten, stalk, abuse, or intimidate others;
- upload harmful, defamatory, discriminatory, or offensive content;
- circumvent Platform payments or policies;
- solicit users away from the Platform to avoid fees;
- misuse reviews or ratings;
- introduce malware or malicious code;
- scrape, copy, reverse engineer, or exploit the Platform;
- infringe intellectual property rights; or
- engage in unlawful or fraudulent conduct.
NannyLane may investigate suspected breaches and cooperate with law enforcement authorities.
Reviews and User Content
Users may submit reviews, ratings, messages, photos, profiles, and other content (“User Content”).
By submitting User Content, you:
- grant NannyLane a worldwide, royalty-free, perpetual, irrevocable, transferable licence to use, reproduce, modify, publish, display, and distribute that content;
- warrant that you own or have rights to the content; and
- acknowledge that NannyLane may remove or moderate content at its discretion.
NannyLane is not responsible for User Content posted by users.
Intellectual Property
All Platform content, branding, software, graphics, logos, trademarks, text, and materials are owned by or licensed to NannyLane.
Users must not reproduce, distribute, modify, copy, exploit, or commercially use any Platform content without prior written consent.
Safety Disclaimer
Childcare involves inherent risks.
Users acknowledge and agree that:
- interactions between users occur entirely at their own risk;
- NannyLane cannot guarantee safety, suitability, or outcomes;
- emergencies, injuries, misconduct, accidents, property damage, illness, abuse, negligence, or criminal conduct may occur; and
- Parents are solely responsible for decisions relating to their children’s care.
Users should exercise caution and take all reasonable safety measures.
Limitation of Liability
To the maximum extent permitted by law:
- the Platform is provided “as is” and “as available”;
- NannyLane excludes all warranties, representations, guarantees, and conditions except those that cannot legally be excluded;
- NannyLane is not liable for indirect, incidental, special, consequential, punitive, or economic loss;
- NannyLane is not liable for loss of profits, revenue, business opportunities, goodwill, data, reputation, or anticipated savings;
- NannyLane is not liable for injury, death, loss, damage, theft, misconduct, negligence, assault, abuse, or disputes arising from user interactions;
- NannyLane is not liable for service interruptions, system failures, cyber incidents, or third-party actions; and
- NannyLane’s total aggregate liability is limited to the greater of:
- the amount paid by the user to NannyLane in the preceding 12 months; or
- AUD $100.
Nothing in these Terms excludes liability that cannot legally be excluded under Australian law.
Indemnity
Users agree to indemnify, defend, and hold harmless NannyLane and its directors, officers, employees, contractors, affiliates, agents, and licensors from and against any claims, liabilities, damages, losses, proceedings, penalties, costs, or expenses (including legal fees on a full indemnity basis) arising out of or related to:
- use of the Platform;
- breach of these Terms;
- user conduct;
- disputes between users;
- violation of laws or regulations; or
- infringement of third-party rights.
Third-Party Services
The Platform may integrate with or link to third-party services, websites, tools, or providers.
NannyLane does not control and is not responsible for third-party services, including:
- Stripe;
- app stores;
- telecommunications providers;
- verification providers; or
- external websites.
Use of third-party services is at the user’s own risk.
Privacy
Your use of the Platform is subject to our Privacy Policy.
Users consent to the collection, use, storage, and disclosure of personal information as described in the Privacy Policy.
Suspension and Termination
NannyLane may, at its sole discretion and without notice:
- suspend or terminate accounts;
- remove content;
- cancel bookings;
- restrict Platform access; or
- investigate suspected misconduct.
Termination may occur for any reason, including:
- breach of these Terms;
- safety concerns;
- suspected fraud;
- unlawful conduct; or
- reputational risk.
NannyLane is not liable for any loss arising from suspension or termination.
Platform Availability
NannyLane does not guarantee uninterrupted or error-free access to the Platform.
The Platform may be unavailable due to:
- maintenance;
- outages;
- technical failures;
- cyber incidents; or
- events beyond our control.
NannyLane may modify, suspend, discontinue, or update any aspect of the Platform at any time without liability.
Force Majeure
NannyLane is not liable for delay or failure to perform obligations due to events beyond its reasonable control, including:
- natural disasters;
- pandemics;
- strikes;
- internet outages;
- cyberattacks;
- government actions; or
- failures of third-party providers.
Dispute Resolution
Users are encouraged to attempt to resolve disputes directly.
NannyLane may, but is not obligated to, assist with dispute resolution or mediation.
Users agree that:
- disputes must first be notified in writing;
- parties will attempt good faith negotiations before commencing formal proceedings; and
- nothing in these Terms limits rights under Australian Consumer Law.
Changes to Terms
NannyLane may update or modify these Terms at any time.
Updated Terms become effective upon publication on the Platform.
Continued use of the Platform after changes are published constitutes acceptance of the updated Terms.
Governing Law
These Terms are governed by the laws of New South Wales, Australia.
Users submit to the exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.
Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.
Entire Agreement
These Terms, together with the Privacy Policy and any policies referenced within them, constitute the entire agreement between users and NannyLane regarding use of the Platform.
